These Terms of Service ("Terms") form a binding agreement between you and ClipWithAI, Inc. ("ClipWithAI," "we," "us," or "our") governing your access to and use of clipwithai.com and any related applications or services (collectively, the "Service"). By creating an account, submitting a video, or otherwise using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

ClipWithAI uses automated and AI-assisted tools to analyze long-form video, identify highlights, and generate short-form clips reframed and captioned for platforms such as TikTok, Instagram Reels, YouTube Shorts, and X. Features, formats, and platform support may change over time as we improve the Service.

You must be at least 16 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use of your account.

You retain all ownership rights to the video content you submit to the Service ("Your Content"). By submitting Your Content, you grant ClipWithAI a limited, worldwide, royalty-free license to host, process, reformat, and generate clips from Your Content solely to provide and improve the Service.

You represent and warrant that you own Your Content or otherwise have the necessary rights and permissions to submit it, and that Your Content and your use of the Service do not violate any third-party rights, including intellectual property and privacy rights, or any applicable law.

You agree not to use the Service to:

• Upload or process content you do not have the rights to use;
• Upload content that is unlawful, infringing, defamatory, or sexually exploitative;
• Attempt to reverse engineer, disrupt, or gain unauthorized access to the Service or its underlying systems; or
• Use the Service to build a competing product or in violation of any applicable law or regulation.

We may suspend or terminate access for any account that violates this section.

The Service, including its software, design, branding, and underlying technology, is owned by ClipWithAI and protected by intellectual property laws. Except for the limited rights explicitly granted to use the Service, no other rights are granted to you.

ClipWithAI may offer free and paid subscription plans. Paid plans, pricing, and billing terms will be presented at the time of purchase and are subject to change with reasonable notice. Fees are non-refundable except where required by law.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you violate these Terms or if we discontinue the Service, with notice where reasonably practicable.

The Service is provided "as is" without warranties of any kind, express or implied. ClipWithAI does not guarantee that AI-generated clips will be accurate, error-free, or suitable for any particular purpose.

To the fullest extent permitted by law, ClipWithAI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Service.

You agree to indemnify and hold ClipWithAI harmless from any claims, damages, or expenses arising from Your Content, your use of the Service, or your violation of these Terms.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
